This End-User License Agreement (“License”) is a legally binding agreement between you, the end-user (individual or legal entity), and Pioneer Corporation. By installing or using the software, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions outlined in this License. This agreement pertains to the use of the Software and Documentation provided by Pioneer for your Pioneer DMH-1500NEX product. Please read this License carefully before proceeding.
By clicking “Accept” or installing/using any part of the Software, you are entering into this agreement. If you are not of legal age to agree to these terms in your location, your parent or guardian must consent on your behalf before you install or use the Software. Pioneer does not intend to provide the Software for use by children under 16.
If you do not agree to these terms, do not click “Accept,” and do not install or use the Software.
1. Definitions
1.1 “Documentation” refers to any written help content provided by Pioneer to assist in using the Software.
1.2 “Software” means the firmware update provided by Pioneer specifically for use with your Pioneer Product(s). This is crucial for the optimal performance of your Pioneer DMH-1500NEX.
1.3 “Product” refers to the Pioneer multimedia receiver model, specifically the DMH-1500NEX, for which this Software license is granted.
1.4 “Licensor” is a third party who licenses intellectual property rights (copyrights, trademarks, etc.) related to content incorporated within the Software.
2. Limited License
2.1 Authorized Use. Pioneer grants you a limited, non-exclusive, non-transferable, royalty-free license to install and use the Software solely with your Pioneer DMH-1500NEX Product. This license allows you to benefit from software updates and ensure your device operates with the latest firmware.
2.2 Restrictions. You are prohibited from copying, distributing, transferring, sublicensing, renting, leasing, lending, selling, or allowing any third party to use the Software or Documentation, except as explicitly permitted in this License. Modification, reverse engineering, decompiling, disassembling, or reducing the Software to a human-perceivable form is also prohibited, except where explicitly allowed by applicable law, and only after written notification to Pioneer.
2.3 Export Controls. You are obligated to comply with all applicable export and re-export laws and regulations, including those of the United States. The Software and Documentation cannot be exported or re-exported to U.S.-embargoed countries or to individuals/entities on restricted lists maintained by the U.S. government. By using the Software, you confirm that you are not located in such a country or on any such list and will not use the Software for purposes prohibited by U.S. law, including the development of weapons of mass destruction.
2.4 Ownership. Pioneer and/or its Licensor retain all rights, title, and interest in the Software and Documentation, including all intellectual property rights. This License does not grant or transfer any ownership rights to you, beyond the limited usage license specified in Section 2.1. Your rights are strictly limited to the license granted.
2.5 Restricted Rights Legend. For U.S. government end users, the Software is considered “commercial computer software” and “commercial computer software documentation” under relevant regulations. The U.S. Government’s rights are limited to those granted to the public under this License, as per FAR §§ 12.212 and 12.211 and/or DFAR 227.7202-3. The manufacturer is Pioneer Corporation, Japan.
2.6 Corrections; No Support. While Pioneer may choose to provide Software corrections, it is not obligated to provide any corrections, support, maintenance, or updates for the Software or Documentation. Users of the free software are expected to understand that ongoing support is not guaranteed.
3. Disclaimer of Warranties
As the Software is provided to you free of charge, Pioneer offers a limited warranty: the Software has been developed and made available following industry standards for free software. However, to the maximum extent permitted by law, Pioneer, its suppliers, and licensors disclaim all other warranties, express or implied. This includes warranties of merchantability, fitness for a particular purpose, and non-infringement. The Software is provided “AS IS AND WITH ALL FAULTS,” and you use it at your own risk.
Pioneer and its suppliers and licensors do not warrant that:
- The Software will be error-free.
- Your use of the Software will be uninterrupted or error-free.
- The Software will meet your specific requirements.
- The Software will be compatible with your chosen hardware or software configuration.
No statements, written or oral, by Pioneer Group or others, constitute warranties from Pioneer. “Pioneer Group” includes Pioneer, its subsidiaries, affiliates, and their respective personnel and representatives.
4. License Breach
You acknowledge that any violation of the restrictions within this License will cause irreparable harm to Pioneer, for which monetary damages alone would be insufficient. Therefore, in addition to other remedies, Pioneer may seek injunctive relief to prevent any actual, threatened, or continued breach of these License terms.
5. Changes to This License
Pioneer reserves the right to modify this License at any time. Pioneer will notify you of changes and their effective date by posting a notice on its website or through other appropriate means. Your continued use of the Pioneer DMH-1500NEX Product after such notice signifies your agreement to the updated License. It is important to periodically check for updates to this agreement.
6. Termination
This License remains in effect until terminated. You may terminate it at any time by destroying and deleting the Software and Documentation. Pioneer may also terminate this License if you breach any provision. Upon termination, you must cease using the Software and Documentation and destroy all copies in your possession, confirming this action to Pioneer upon request. Sections 2.2, 2.3, 3, 4, and 7 will remain in effect even after termination of this License.
7. General Terms
7.1 Governing Law. The governing law for this License depends on your residency: Belgian law if you reside in the EEA, California law if in the United States, Ontario and Canadian federal law if in Canada, and Japanese law for residents of all other territories.
7.2 Jurisdiction. Parties agree to attempt to resolve disputes amicably. If amicable settlement fails, disputes may be settled by binding arbitration under the International Chamber of Commerce rules. Arbitration location varies by residency: Brussels (EEA), regional venues in the US (New York, Dallas, Los Angeles), regional venues in Canada (Vancouver, Toronto, Quebec), or Tokyo (other territories). Court jurisdiction also varies by residency, with Belgian courts for EEA residents (if arbitration is not chosen), and Toronto courts for Canadian residents (if arbitration is unenforceable).
7.3 Exclusion of Remedies. To the maximum extent permitted by law, Pioneer Group and its suppliers/licensors are not liable for any indirect, special, incidental, punitive, exemplary, or consequential damages (including lost data or economic loss) arising from this License or your use/inability to use the Software. This exclusion applies regardless of the cause of action, except in cases of Pioneer’s willful misconduct, gross negligence, or user death/physical injury due to Pioneer’s acts or omissions.
7.4 Limitation of Liability. To the maximum extent permitted by law, the aggregate liability of Pioneer Group and its suppliers/licensors for any damages or claims related to this License or the Software is limited to the greater of US$10.00 or the price paid for your Pioneer DMH-1500NEX Product. This limitation is cumulative across all claims.
7.5. Your Specific Rights. Some jurisdictions may not allow the exclusion or limitation of damages or liability, so some of the above limitations may not apply to you depending on applicable law. Your legal rights may vary by jurisdiction.
7.6 Essential Purpose. Unless limited or modified by applicable law, the disclaimers, exclusions, and limitations in this License apply even if any remedy fails to achieve its essential purpose.
7.7 Severability and Waiver. If any provision of this License is deemed illegal, invalid, or unenforceable, it will be enforced to the extent possible or removed, with the rest of the License remaining in effect. Waiver of any breach does not constitute a future waiver.
7.8 No Assignment. You may not assign or transfer this License without Pioneer’s written consent. Pioneer may freely assign or transfer this License, with notice provided in advance if the assignment affects your guarantees.
7.9 Entire Agreement. This License constitutes the entire agreement between you and Pioneer regarding the Software and Documentation. It can only be modified by Pioneer’s express written consent. No other acts or customs can modify this License. “Including” means “including without limitation.”
