This End-User License Agreement (“License”) is a legally binding agreement between you, the end-user, and Pioneer Corporation, a leading global electronics manufacturer. This agreement outlines the terms and conditions governing your use of Pioneer’s software and related documentation. By installing or using the software, you acknowledge that you have read, understood, and agree to be bound by this License.
Carefully read this License before proceeding to use the software.
By clicking the acceptance button or installing/using any part of the software, you are confirming your agreement to these terms. If you are under the legal age of consent in your location, your parent or guardian must agree to these terms on your behalf. Pioneer Corporation does not intend to provide software for use by children under 16.
If you do not agree with these terms, do not click “accept” and do not install or use the software.
1. Definitions
1.1 “Documentation” refers to any written help content provided by Pioneer Corporation to assist in software usage.
1.2 “Software” means the firmware update provided by Pioneer Corporation for exclusive use with your Pioneer Product(s).
1.3 “Product” denotes the multimedia receiver model sold and distributed by Pioneer Corporation for which this software license is granted.
1.4 “Licensor” is a third party who licenses intellectual property rights, such as copyrights and trademarks, related to content within the Software.
2. Limited License
2.1 Authorized Use. Pioneer Corporation grants you a limited, non-exclusive, non-transferable, royalty-free license to install and use the Software solely with the designated Product(s). This license is specifically for your personal or internal business use and not for redistribution.
2.2 Restrictions. You are prohibited from copying, distributing, transferring, sublicensing, renting, leasing, lending, selling, or allowing third-party use of the Software or Documentation, except as explicitly permitted in this License. Modification, reverse engineering, decompilation, or disassembly of the Software to a human-perceivable form is also prohibited, except to the extent permitted by applicable law, and only after notifying Pioneer Corporation in writing of such intentions.
2.3 Export Controls. The Software and Documentation are subject to export control laws and regulations. You may not export or re-export the Software or Documentation except as authorized by United States law and the laws of your jurisdiction. Specifically, you may not export or re-export to (a) U.S.-embargoed countries or (b) individuals or entities on restricted lists maintained by the U.S. Treasury Department or Department of Commerce. By using the Software and Documentation, you warrant that you are not located in such a country or on such a list and will not use the Software for any purposes prohibited by United States law, including the development of weapons of mass destruction.
2.4 Ownership. Pioneer Corporation and its Licensors retain all rights, title, and interest in the Software and Documentation, including all intellectual property rights. This License does not grant you any ownership rights, express or implied, beyond the limited use license detailed in Section 2.1.
2.5 Restricted Rights Legend. For U.S. government end users, the Software is considered “commercial computer software” and “commercial computer software documentation” as defined in relevant U.S. federal regulations. U.S. Government rights are limited to those granted to the public under this License. Manufacturer is Pioneer Corporation, located in Tokyo, Japan.
2.6 Corrections; No Support. While Pioneer Corporation may choose to provide software corrections, it is not obligated to provide any support, maintenance, updates, or corrections for the Software or Documentation. The software is provided as is, without guaranteed support.
3. Disclaimer of Warranties
Given that the Software is provided to you free of charge, Pioneer Corporation only warrants that the Software has been developed and made available according to industry standards for free software. In all other respects, the Software is provided “AS IS AND WITH ALL FAULTS,” and Pioneer Corporation, its suppliers, and licensors disclaim all other warranties, express or implied. This includes, but is not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. You use the Software entirely at your own risk.
Pioneer Corporation and its suppliers and licensors do not warrant that:
- The Software will be error-free.
- Your use of the Software will be uninterrupted or error-free.
- The Software will meet your specific requirements.
- The Software will be compatible with your chosen hardware or software configurations.
No statements, written or oral, by Pioneer Corporation Group or others, constitute warranties from Pioneer Corporation. “Pioneer Corporation Group” includes Pioneer Corporation, its subsidiaries, affiliates, and their respective stakeholders.
4. License Breach
You acknowledge that any violation of the restrictions within this License would cause irreparable harm to Pioneer Corporation. In such cases, monetary damages alone would be insufficient. Therefore, Pioneer Corporation is entitled to seek injunctive relief to prevent any actual, threatened, or continued breach of these License terms, in addition to any other legal remedies available.
5. Changes to this License
Pioneer Corporation reserves the right to modify this License at any time. Advance notice of any changes and their effective date will be provided by posting a notice on the Pioneer Corporation website or through other appropriate means. Your continued use of the Product(s) after such notice constitutes your acceptance of the revised License.
6. Termination
This License remains in effect until terminated. You may terminate it at any time by destroying and deleting the Software and Documentation. Pioneer Corporation may also terminate this License at any time if you breach any provision. Upon termination, you must cease using the Software and Documentation and destroy all copies, confirming this action to Pioneer Corporation in writing. Sections 2.2, 2.3, 3, 4, and 7 will remain in effect even after termination.
7. General Terms
7.1 Governing Law. This License is governed by specific laws depending on your residency. For EEA residents, Belgian law applies. For US residents, it’s California law. For Canadian residents, it’s the laws of Ontario and Canadian federal law. For residents outside these regions, Japanese law governs this License.
7.2 Jurisdiction. Disputes will initially be addressed through good faith efforts to reach an amicable resolution. If unsuccessful, residents of EEA member states may choose binding arbitration. Residents outside EEA member states are subject to binding arbitration. Arbitration rules are defined by the International Chamber of Commerce. Arbitration locations vary by residency: Brussels (EEA), regional venues in the US and Canada, and Tokyo (other territories). Court jurisdiction also varies by residency in case arbitration is not chosen or enforceable.
7.3 Exclusion of Remedies. To the maximum extent permitted by law, Pioneer Corporation Group and its suppliers/licensors are not liable for any indirect, special, incidental, punitive, exemplary, or consequential damages arising from this License or the Software use, excluding cases of Pioneer Corporation’s willful misconduct, gross negligence, or user death/physical injury due to Pioneer Corporation’s actions or omissions.
7.4 Limitation of Liability. Pioneer Corporation Group and its suppliers/licensors’ total liability for any damages or claims related to this License is limited to US$10.00 or the price paid for the Pioneer product associated with the Software, whichever is greater, excluding cases of Pioneer Corporation’s willful misconduct, gross negligence, or user death/physical injury.
7.5. Your Specific Rights. Legal exclusions and limitations may not apply in jurisdictions that do not permit them. Your legal rights may vary based on your location.
7.6 Essential Purpose. Disclaimers, exclusions, and limitations apply even if any remedy fails its essential purpose, unless restricted by law.
7.7 Severability and Waiver. If any part of this License is unenforceable, it will be enforced to the extent possible or removed, without affecting the rest of the License. Waiver of a breach does not waive future breaches.
7.8 No Assignment. You cannot transfer this License without Pioneer Corporation’s written consent. Pioneer Corporation can freely assign the License, providing notice if it impacts your guarantees.
7.9 Entire Agreement. This License is the complete agreement regarding the Software and Documentation. It can only be modified by Pioneer Corporation’s written consent. No other actions or customs will modify it. “Including” means “including without limitation.”
