This End-User License Agreement (“License”) is a legally binding agreement between you, the end user, and Pioneer Corporation. It governs your use of Pioneer’s software and related documentation. Please read this License carefully before accepting it or using the software.
By clicking the “Accept” button or installing/using the software, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions. If you are under the legal age of consent in your location, your parent or guardian must agree to these terms on your behalf. Pioneer does not knowingly provide software for use by children under 16.
If you do not agree to these terms, do not accept the License and do not install or use the software.
1. Definitions
- 1.1 “Documentation”: Refers to any written help content provided by Pioneer to assist in using the Software.
- 1.2 “Software”: Means the firmware update provided by Pioneer for use with specific Pioneer Products.
- 1.3 “Product”: Indicates the Pioneer multimedia receiver model for which this Software license is granted.
- 1.4 “Licensor”: Represents any third party who licenses intellectual property rights (copyrights, trademarks, etc.) incorporated within the Software.
2. Limited License
- 2.1 Authorized Use: Pioneer grants you a limited, non-exclusive, non-transferable, and royalty-free license to install and use the Software solely with your Pioneer Product(s). This license is for your internal use only.
- 2.2 Restrictions: You are prohibited from copying, distributing, transferring, sublicensing, renting, leasing, lending, selling, or allowing third-party use of the Software or Documentation, except as explicitly permitted in this License. Modifying, reverse engineering, decompiling, disassembling, or reducing the Software to a human-perceivable form is also forbidden, except as allowed by applicable law and only after written notification to Pioneer. Understanding the software interface, much like understanding a Pioneer Deh Wiring Diagram helps with hardware, requires adherence to these usage restrictions.
- 2.3 Export Controls: You must comply with all applicable export and re-export laws and regulations, including those of the United States. The Software and Documentation cannot be exported or re-exported to embargoed countries or individuals/entities listed by the U.S. government. By using the Software, you warrant that you are not located in such a country or on any such list and will not use the Software for prohibited purposes, including the development of weapons of mass destruction.
- 2.4 Ownership: Pioneer and its Licensors retain all rights, titles, and interests in the Software and Documentation, including all intellectual property rights. This License grants you only limited usage rights as defined in Section 2.1, not ownership.
- 2.5 Restricted Rights Legend: For U.S. government end users, the Software is considered “commercial computer software” and is licensed with restricted rights as per U.S. Federal Acquisition Regulations (FAR) and Defense Federal Acquisition Regulation Supplement (DFAR). The U.S. Government’s rights are limited to those granted to the public under this License.
- 2.6 Corrections; No Support: While Pioneer may provide Software corrections at its discretion, it is not obligated to provide any corrections, support, maintenance, or updates for the Software or Documentation.
3. Disclaimer of Warranties
As the Software is provided to you free of charge, Pioneer’s warranty is limited to ensuring the Software was developed and made available following standard industry practices for free software. In all other respects, the Software is provided “AS IS AND WITH ALL FAULTS,” without any other warranties. To the maximum extent permitted by law, Pioneer, its suppliers, and licensors disclaim all other warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. You use the Software at your own risk.
Pioneer and its suppliers and licensors do not warrant that:
- The Software will be error-free.
- Your use of the Software will be uninterrupted or error-free.
- The Software will meet your specific requirements.
- The Software will be compatible with your chosen hardware or software configurations.
No statements, whether written or oral, made by Pioneer Group or others, constitute warranties from Pioneer. “Pioneer Group” includes Pioneer, its subsidiaries, affiliates, and their respective stakeholders.
4. License Breach
You acknowledge that any violation of the restrictions in this License will cause irreparable harm to Pioneer, for which monetary damages may not be sufficient. Therefore, in addition to other remedies, Pioneer is entitled to seek injunctive relief to prevent any actual, threatened, or continued breach of these License terms.
5. Changes to This License
Pioneer reserves the right to modify this License at any time. Advance notice of any changes and their effective date will be provided by posting a notice on Pioneer’s website or through other appropriate means. Your continued use of the Product(s) after such notice constitutes your acceptance of the revised License.
6. Termination
This License remains in effect until terminated. You may terminate it at any time by destroying and deleting the Software and Documentation. Pioneer may also terminate this License if you breach any provision. Upon termination, you must cease using the Software and Documentation and destroy all copies in your possession, confirming this action to Pioneer upon request. Sections 2.2, 2.3, 3, 4, and 7 will remain in effect even after termination.
7. General Terms
- 7.1 Governing Law: This License is governed by specific laws depending on your residency. For residents of the European Economic Area (EEA), Belgian law applies. For U.S. residents, it’s the law of California. For Canadian residents, it’s the law of Ontario and Canadian federal law. For residents outside these regions, Japanese law governs this License.
- 7.2 Jurisdiction: Parties agree to attempt to resolve disputes amicably. If amicable settlement fails, disputes may be settled through binding arbitration under the rules of the International Chamber of Commerce. The arbitration location varies by your residency (Brussels for EEA, regional venues in the U.S. and Canada, Tokyo for other territories). Court jurisdiction also varies by residency if arbitration is not pursued or enforceable.
- 7.3 Exclusion of Remedies: To the maximum extent permitted by law, Pioneer Group and its suppliers/licensors are not liable for any indirect, special, incidental, punitive, exemplary, or consequential damages (including data loss or economic loss) arising from this License or your use/inability to use the Software. This exclusion applies regardless of the cause of action, except in cases of Pioneer’s willful misconduct, gross negligence, or death/physical injury caused by Pioneer’s acts or omissions.
- 7.4 Limitation of Liability: To the maximum extent permitted by law, the total liability of Pioneer Group and its suppliers/licensors for any claims related to this License or the Software is limited to the greater of US$10.00 or the price paid for the Pioneer Product associated with the Software. This is a cumulative limit.
- 7.5. Your Specific Rights: Some jurisdictions may not allow the exclusion or limitation of certain damages or liabilities, so some of these limitations may not apply to you based on your local laws.
- 7.6 Essential Purpose: These disclaimers, exclusions, and limitations apply even if any remedy fails its essential purpose, unless restricted by applicable law.
- 7.7 Severability and Waiver: If any part of this License is deemed unenforceable, it will be enforced to the extent possible or removed, without affecting the rest of the License. Failure to enforce any provision does not constitute a waiver of future enforcement.
- 7.8 No Assignment: You may not transfer this License without Pioneer’s written consent. Pioneer may freely assign or transfer this License, with notice provided in advance if it impacts your guarantees.
- 7.9 Entire Agreement: This License constitutes the complete agreement regarding the Software and Documentation, superseding all prior agreements. It can only be modified by Pioneer’s express written consent.
