This End-User License Agreement (“License”) is a legal agreement between you, the user, and Pioneer Corporation for the software provided for use with Pioneer products, potentially including models like the Pioneer Mvh-s522bs. This License, revised as of December 16, 2019 (version 1.0), outlines the terms and conditions for using Pioneer’s software and documentation. By clicking “Accept” or using the software, you acknowledge that you have read, understood, and agree to be bound by this License.

Agreement to Terms

By proceeding to use the software, you are confirming your agreement to these terms. If you are under the legal age of consent in your location, your parent or guardian must agree to these terms on your behalf. Pioneer does not intend for its software to be used by children under 16.

If you do not agree to these terms, do not accept the license and do not install or use the software.

1. Definitions

1.1 “Documentation” refers to any written help content provided by Pioneer to assist in the use of the Software.

1.2 “Software” is defined as the firmware update provided by Pioneer for use with specific Pioneer Products. This may include updates relevant to products like the pioneer mvh-s522bs.

1.3 “Product” refers to the Pioneer multimedia receiver model for which this Software license is granted. This can include car stereos such as the Pioneer MVH-S522BS.

1.4 “Licensor” means any third party who licenses intellectual property rights related to content within the Software.

2. Limited License

2.1 Authorized Use. Pioneer grants you a limited, non-exclusive, non-transferable, royalty-free license to install and use the Software solely with the designated Product(s). This license is intended for users of Pioneer products, potentially including those using a pioneer mvh-s522bs car stereo.

2.2 Restrictions. You are prohibited from copying, distributing, transferring, sublicensing, renting, leasing, lending, selling, or allowing third-party use of the Software or Documentation, except as explicitly permitted in this License. Modification, reverse engineering, decompilation, or disassembly of the Software to a human-perceivable form is forbidden, except where explicitly allowed by law and after written notification to Pioneer.

2.3 Export Controls. You are responsible for complying with all export and re-export restrictions as dictated by United States law and the laws of your jurisdiction. The Software and Documentation cannot be exported or re-exported to U.S.-embargoed countries or to individuals or entities on restricted lists maintained by the U.S. Government. By using the Software, you warrant that you are not located in any such country or on any such list and will not use the Software for prohibited purposes, including the development of weapons of mass destruction.

2.4 Ownership. Pioneer and its Licensors retain all rights, titles, and interests in the Software and Documentation, including all intellectual property rights. This License does not grant you any ownership rights beyond the limited usage license specified in Section 2.1.

2.5 Restricted Rights Legend. For U.S. Government end users, the Software is considered “commercial computer software” and “commercial computer software documentation” under applicable regulations. Government rights are limited to those granted to the public under this License, in accordance with FAR and DFAR regulations. The manufacturer is Pioneer Corporation, Japan.

2.6 Corrections; No Support. While Pioneer may choose to provide software corrections, it is not obligated to offer any support, maintenance, or updates for the Software or Documentation. Users of products like the pioneer mvh-s522bs should note that ongoing support for software updates is not guaranteed under this license.

3. Disclaimer of Warranties

As the Software is provided to you free of charge, Pioneer’s warranty is limited to ensuring the Software has been developed and made available following standard industry practices for free software. In all other respects, the Software is provided “AS IS AND WITH ALL FAULTS,” and you use it at your own risk.

To the maximum extent permitted by law, Pioneer, its suppliers, and licensors disclaim all other warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Pioneer and its suppliers and licensors do not warrant that:

  1. The Software will be error-free.
  2. Your use of the Software will be uninterrupted or error-free.
  3. The Software will meet your specific requirements.
  4. The Software will be compatible with your chosen hardware or software configurations.

No statements, whether written or oral, made by Pioneer Group or others, constitute warranties from Pioneer. “Pioneer Group” includes Pioneer and its affiliates, subsidiaries, and their respective personnel and representatives.

4. License Breach

You acknowledge that any violation of the restrictions within this License will cause irreparable harm to Pioneer. In such cases, Pioneer is entitled to seek injunctive relief to prevent further breach, in addition to any other legal remedies available.

5. Changes to This License

Pioneer reserves the right to modify this License at any time. Notice of changes and the effective date will be provided by posting on Pioneer’s website or through other appropriate means. Your continued use of the Product(s) after such notice constitutes your agreement to the revised License.

6. Termination

This License remains in effect until terminated. You may terminate it at any time by destroying and deleting the Software and Documentation. Pioneer may also terminate this License if you breach any provision. Upon termination, you must cease using the Software and Documentation and destroy all copies. Sections 2.2, 2.3, 3, 4, and 7 will remain in effect even after termination.

7. General Terms

7.1 Governing Law. This License is governed by specific laws depending on your residency: Belgian law if you reside in the EEA, California law if in the USA, Ontario and Canadian federal law if in Canada, and Japanese law for all other regions.

7.2 Jurisdiction. Disputes will initially be addressed through good faith efforts for amicable resolution. If unresolved, disputes may be settled by binding arbitration under the International Chamber of Commerce rules, depending on your region. Arbitration locations vary by region (Brussels, Belgium for EEA; regional venues in the US and Canada; Tokyo, Japan for others). Court jurisdiction also varies by region if arbitration is not pursued or enforceable.

7.3 Exclusion of Remedies. To the maximum extent legally permissible, Pioneer Group and its suppliers/licensors are not liable for any indirect, special, incidental, punitive, exemplary, or consequential damages arising from this License or your use/inability to use the Software. This exclusion applies regardless of the cause of action, except in cases of Pioneer’s willful misconduct, gross negligence, or user death/physical injury due to Pioneer’s acts or omissions.

7.4 Limitation of Liability. Except for cases of willful misconduct, gross negligence, or user death/physical injury caused by Pioneer, the total liability of Pioneer Group and its suppliers/licensors for any claims related to this License or the Software is limited to US$10.00 or the price paid for the Pioneer product associated with the Software, whichever is greater.

7.5. Your Specific Rights. Legal exclusions and limitations may not apply to you if your jurisdiction prohibits them. Your legal rights may vary.

7.6 Essential Purpose. Unless restricted by law, disclaimers, exclusions, and limitations apply even if any remedy fails its essential purpose.

7.7 Severability and Waiver. If any part of this License is deemed unenforceable, it will be enforced to the extent possible or removed, without affecting the rest of the License. Failure to enforce any provision does not waive future enforcement of that or any other provision.

7.8 No Assignment. You cannot transfer this License without Pioneer’s written consent. Pioneer may freely transfer the License with notice if it impacts your guarantees.

7.9 Entire Agreement. This License constitutes the complete agreement between you and Pioneer regarding the Software and Documentation and can only be modified in writing by Pioneer. No other actions or customs will modify this License. “Including” means “including without limitation.”
