• Ownership: Pioneer and/or its Licensors retain all rights, title, and interest in the Software and Documentation, including all intellectual property rights. This license does not transfer any ownership to you, only the limited right to use the Software as specified.

• Restricted Rights Legend: For U.S. government end users, the Software is classified as “commercial computer software” and is subject to restricted rights as per government regulations. The U.S. Government’s rights are limited to those granted to the public under this License.

• Corrections and Support: While Pioneer may choose to provide software corrections, they are not obligated to provide any support, maintenance, or updates for the Software or Documentation. This means software used perhaps in relation to something like a pioneer championship series 12 might receive updates at Pioneer’s discretion, but it’s not guaranteed.

Disclaimer of Warranties

The Software is provided to you free of charge, and therefore, warranties are limited:

Pioneer warrants only that the Software has been developed and made available according to industry standards for free software. No statements, written or oral, from Pioneer Group or others will create any warranties beyond what is explicitly stated in this license. “Pioneer Group” includes Pioneer, its subsidiaries, affiliates, and their representatives.

License Breach and Legal Remedies

You acknowledge that any violation of the restrictions in this License would cause irreparable harm to Pioneer. In the event of a breach, Pioneer is entitled to seek injunctive relief to prevent further violation, in addition to any other legal remedies available, including financial damages.

Changes to This License

Pioneer reserves the right to modify this License at any time. Pioneer will provide advance notice of changes by posting updates on their website or through other appropriate means. Your continued use of the Product(s) after such notice constitutes your agreement to the revised License terms.

Termination of the Agreement

This License remains in effect until terminated.

• Your Termination: You may terminate this License at any time by destroying and deleting all copies of the Software and Documentation.
• Pioneer’s Termination: Pioneer may terminate this License if you breach any provision of the agreement.

Upon termination, you must cease using the Software and Documentation and destroy all copies in your possession, confirming this action to Pioneer upon request. Certain sections of the License, including restrictions, disclaimers, remedies, and general terms, will remain in effect even after termination.

General Legal Terms

• Governing Law: The governing law of this License depends on your residency:

  • EEA Residents: Belgian law.
  • U.S. Residents: Laws of the State of California, U.S.A.
  • Canadian Residents: Laws of the Province of Ontario and federal laws of Canada.
  • Residents outside EEA, U.S., or Canada: Laws of Japan.

• Jurisdiction: Disputes will initially be addressed through good faith efforts to reach an amicable resolution. If unresolved:

  • EEA Residents: Binding arbitration in Brussels, Belgium (English language) or Belgian courts (if arbitration is not agreed upon).
  • U.S. Residents: Binding arbitration in New York, Dallas, or Los Angeles.
  • Canadian Residents: Binding arbitration in Vancouver, Toronto, or Quebec City, or courts in Toronto if arbitration is unenforceable.
  • Other Residents: Binding arbitration in Tokyo, Japan.
    Arbitration will be conducted under the rules of the International Chamber of Commerce. Arbitration awards are final and binding.

• Exclusion of Remedies: To the maximum extent legally permitted, Pioneer Group is not liable for any indirect, special, incidental, punitive, exemplary, or consequential damages arising from this License or your use of the Software, except in cases of Pioneer’s willful misconduct, gross negligence, or death/physical injury resulting from Pioneer’s actions or omissions.

• Limitation of Liability: Pioneer Group’s total liability for any claims related to this License or the Software is limited to US$10.00 or the price you paid for the Pioneer Product associated with the Software, whichever is greater, except in cases of Pioneer’s willful misconduct, gross negligence, or death/physical injury.

• Your Specific Rights: Some jurisdictions may not allow the exclusion of certain damages or limitations of liability, so some of these exclusions may not apply to you, depending on local law. Your legal rights may vary by jurisdiction.

• Essential Purpose: Disclaimers, exclusions, and limitations apply even if any remedy fails its essential purpose, unless limited by applicable law.

• Severability and Waiver: If any part of this License is deemed unenforceable, that provision will be modified to be enforceable or removed, leaving the rest of the License valid. Failure to enforce any provision does not waive future enforcement of that or any other provision.

• No Assignment: You cannot assign or transfer this License without Pioneer’s written consent. Pioneer may freely assign or transfer this License with notice to you if it affects your guarantees.

• Entire Agreement: This License constitutes the complete agreement between you and Pioneer regarding the Software and Documentation, superseding any prior agreements. It can only be modified by Pioneer’s express written consent.
