This End User License Agreement (EULA) is a crucial document that governs your use of Pioneer software. It’s essential to understand these terms, as they outline the legal agreement between you and Pioneer Corporation regarding the software you are using, potentially in connection with products related to something like a Pioneer Championship Series 12 if applicable to specific promotional software or bundled offerings. Please read this document carefully to ensure you are aware of your rights and obligations.
Understanding the Agreement
This License is a legally binding agreement between you, the end-user, and Pioneer Corporation (referred to as “Pioneer,” “we,” or “us”). By clicking “accept” or installing/using the software, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions outlined in this EULA. This agreement is as legally enforceable as any written contract you would sign.
It is important to note that if you are under the legal age of consent in your location, your parent or guardian must agree to these terms on your behalf before you can use the software. Pioneer does not intend for its software to be used by children under the age of 16.
If you do not agree with any part of this EULA, you must not click the “accept” button and should refrain from installing or using the software.
Key Definitions in the License Agreement
To ensure clarity, here are the definitions of key terms used throughout this End User License Agreement:
- Documentation: Refers to any written help content provided by Pioneer to assist you in using the Software.
- Software: Specifically means the firmware update provided by Pioneer for your use with designated Pioneer Products. This could be relevant to ensuring optimal performance in scenarios like a pioneer championship series 12, if software updates are part of product support for such events.
- Product: Indicates the specific Pioneer multimedia receiver model for which this Software license is granted.
- Licensor: A third party who grants Pioneer the license to use copyrights, trademarks, and other intellectual property rights incorporated into the Software.
Grant of Limited License
Pioneer grants you a limited license to use the Software under specific conditions:
-
Authorized Use: You are granted a limited, non-exclusive, non-transferable, and royalty-free license to install and use the Software solely with the intended Pioneer Product(s).
-
Restrictions: This license comes with important restrictions. You are prohibited from:
- Copying or using the Software or Documentation except as explicitly allowed in this License.
- Distributing, transferring, sublicensing, renting, leasing, lending, selling, or allowing any third party to use the Software.
- Modifying, reverse engineering, decompiling, disassembling, or reducing the Software to a human-readable format, except where explicitly permitted by law and only after notifying Pioneer in writing.
-
Export Controls: You must comply with all applicable export control laws. You are prohibited from exporting or re-exporting the Software or Documentation to:
- U.S.-embargoed countries.
- Anyone on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List.
By using the Software, you warrant that you are not located in any such country or on any such list and will not use the Software for purposes prohibited by United States law, including the development of weapons of mass destruction.
-
Ownership: Pioneer and/or its Licensors retain all rights, title, and interest in the Software and Documentation, including all intellectual property rights. This license does not transfer any ownership to you, only the limited right to use the Software as specified.
-
Restricted Rights Legend: For U.S. government end users, the Software is classified as “commercial computer software” and is subject to restricted rights as per government regulations. The U.S. Government’s rights are limited to those granted to the public under this License.
-
Corrections and Support: While Pioneer may choose to provide software corrections, they are not obligated to provide any support, maintenance, or updates for the Software or Documentation. This means software used perhaps in relation to something like a pioneer championship series 12 might receive updates at Pioneer’s discretion, but it’s not guaranteed.
Disclaimer of Warranties
The Software is provided to you free of charge, and therefore, warranties are limited:
Pioneer warrants only that the Software has been developed and made available according to industry standards for free software. Beyond this, the Software is provided “AS IS AND WITH ALL FAULTS.” To the maximum extent permitted by law, Pioneer, its suppliers, and licensors disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. You use the Software at your own risk.
Pioneer does not warrant that:
- The Software will be error-free.
- Your use of the Software will be uninterrupted or error-free.
- The Software will meet your specific requirements.
- The Software will be compatible with your chosen hardware or software configuration.
No statements, written or oral, from Pioneer Group or others will create any warranties beyond what is explicitly stated in this license. “Pioneer Group” includes Pioneer, its subsidiaries, affiliates, and their representatives.
License Breach and Legal Remedies
You acknowledge that any violation of the restrictions in this License would cause irreparable harm to Pioneer. In the event of a breach, Pioneer is entitled to seek injunctive relief to prevent further violation, in addition to any other legal remedies available, including financial damages.
Changes to This License
Pioneer reserves the right to modify this License at any time. Pioneer will provide advance notice of changes by posting updates on their website or through other appropriate means. Your continued use of the Product(s) after such notice constitutes your agreement to the revised License terms.
Termination of the Agreement
This License remains in effect until terminated.
- Your Termination: You may terminate this License at any time by destroying and deleting all copies of the Software and Documentation.
- Pioneer’s Termination: Pioneer may terminate this License if you breach any provision of the agreement.
Upon termination, you must cease using the Software and Documentation and destroy all copies in your possession, confirming this action to Pioneer upon request. Certain sections of the License, including restrictions, disclaimers, remedies, and general terms, will remain in effect even after termination.
